ㅇ공정거래위원회는 글로벌 음향 표준기술 보유 기업인 돌비가 국내기업들과 라이선스 계약을 체결하면서 부쟁의무 등 불공정한 거래조건을 설정한 행위에 대해 시정명령을 부과했다.

ㅇ돌비는 디지털 오디오 코딩 기술표준인 AC-3*에 대한 라이선스 권한을 가지고 있으므로 관련 디지털 오디오 제품을 생산하기 위해서는 반드시 돌비로부터 라이선스를 받아야 한다.

* AC-3: 세계 각 국의 디지털 방송 및 DVD 등 매체의 표준화 기구에서 오디오 코딩 표준으로 채택한 기술로서 해당 매체와 관련된 제품(예: 디지털 텔레비전, DVD 플레이어 등)에 동 기술이 구현되지 않는 경우 소리를 재생할 수가 없게 됨.

ㅇ돌비와 같이 표준으로 설정된 기술을 보유하고 있는 사업자에 대해서는 특허권 남용 등 공정 거래 저해 행위에 대한 면밀한 감시가 필요하다.

ㅇ돌비는 라이선시가 어떤 방법으로도 특허의 효력 또는 소유를 다툴 수 없도록 하는 거래조건을 설정했다.

2.4. Acknowledgement of Licensor's Rights. Licensee acknowledges that Licensee has no ownership rights in and to the Dolby Intellectual Property and agrees that:

2.4.1. Licensee will take no action, directly or indirectly or through cooperation with any third party, to challenge the validity or ownership of any Dolby Intellectual Property;

ㅇ또한, 라이선시가 특허의 유효성을 다툴 경우 계약을 해지할 수 있도록 거래조건을 설정했다.

5.6 Termination for Assertion of Patents. (…) Licensor may immediately terminate this Agreement by written notice to Licensee if Licensee directly or indirectly challenges the scope or validity of a Patent.

ㅇ돌비는 라이선시가 자신의 지적재산권을 실제로 침해 또는 남용한 경우 이외에도 침해 또는 남용의 우려만 있는 경우까지 계약을 해지할 수 있도록 거래조건을 설정했다.

< 불공정한 손해배상 및 감사 비용 분담 기준을 설정>

ㅇ돌비는 라이선시가 사전에 보고한 물량과 감사로 확인된 물량의 차이가 미미한 경우에도 라이선시에게 손해배상 및 제반 감사비용을 전부 부담하도록 거래조건을 설정했다.

ㅇ이는 거래량 등에 비례한 정률 기준(예: 전체 로열티의 5%) 뿐만 아니라 미미한 수준의 정액 기준(예: 로열티 1000달러)을 함께 설정하여 사실상 라이선시가 손해배상 등을 부담하는 결과를 초래한다.

5.7. Unreported Sales. If Licensee has under-reported the number of Licensed Products Sold by Licensee for any calendar quater (the "Unreported Sales"), whether revealed by Licensor's inspection of the relevant records of the Licensee or otherwise, by at least five percent, but in any event by an amount on which royalties in excess of $1000 are payable. 5.7. Under-reporting Sales. If it is revealed by Licensor's inspection of the relevant records of Licensee or otherwise that Licensee has under-reported the number of Licensed Products sold for any period by the greater of $10,000 or five percent or more of the Sales for that period, then Licensee shall be liable to Licensor in an amount equal to: (…)

ㅇ돌비는 라이선시가 취득한 이용발명 등 권리에 대해 돌비에 배타적 양수권을 부여하고 제3자에 대한 라이선스를 금지하는 등 그 처분 및 행사를 제한하는 거래조건을 설정했다

7.3.3. If it has or acquires a proprietary right necessary for the use of the Licensed Technology then:

7.3.3.1. It has not and will not assign or grant an exclusive license to such right except to Licensor;

7.3.3.2. Licensor shall have a right-of-first-refusal to acquire and sub-license such right (by license or otherwise) on fair and reasonable terms, it being agreed that if no agreement is reached after good faith negotiations during a 180 day period, Licensor shall, upon written notice to Licensee, have the right to immediately terminate this Agreement or the Technology License; and

7.3.3.3. It will not, in any event, assert such right against Licensor or Licensor's licensees and any transfer or sublicense of such right to any third party shall specifically prohibit such assertion.

ㅇ또한, 라이선시가 취득한 이용발명 등 권리 중 특허된 권리를 돌비 또는 돌비의 다른 라이선시에게 행사할 경우 라이선스 계약을 즉시 해지할 수 있도록 하는 거래조건을 설정했다.

5.6 Terminateion for Assertion of Patents. (…) If Licensee asserts an Essential Patent right against Licensor or Licensor's licensees (…) for use of the Licensed Technology, Licensor may immediately terminate this Agreement and the Technology License with written notice to Licensee.

ㅇ이번 조치는 AC-3 기술이 표준으로 설정된 디지털 오디오 코딩 시장의 공정한 거래 질서 확립에 기여할 것으로 기대된다.

ㅇ공정위는 앞으로도 돌비와 같은 표준기술 보유 사업자의 불공정 행위에 대한 모니터링을 강화하고 법위반 행위가 적발될 경우 엄중 제재할 계획이다.
